Reporting to the Senior Vice President Human Resources Total Rewards and Governance the Vice President Executive Compensation Policy & Governance is a senior leader accountable for enterprise-wide executive compensation strategy and employee compensation policies and practices.

This role is a vital member of the Total Rewards Leadership Team with responsibilities including:

  • designing and delivering an executive compensation program that is aligned with TDs strategy and drives business performance
  • overseeing employee compensation policies and programs that provide market competitive pay and achieve pay equity objectives
  • overseeing the accurate forecasting and expensing of >$4Billion in incentive compensation annually including close interaction with HR and finance partners
  • ensuring the design of TDs compensation programs are consistent with regulatory requirements and expectations globally
  • supporting the Human Resources Committee of the Board and the effective communication of the banks compensation practices including development of the compensation section of the proxy circular and any related external stakeholder engagement

As a key partner this VP Human Resources collaborates closely with senior business leaders other total rewards leaders and enterprise HR groups to develop execute and communicate executive and employee compensation programs and initiatives that drive business performance and align with all relevant regulatory requirements.

Accountabilities

  • Lead enterprise strategy standards and governance for Executive Compensation Compensation Policy and Compensation Governance.
  • Lead the design execution and governance of enterprise incentive plans - the Executive Compensation Plan and the Employee Incentive Plan.
  • Primary support for the Human Resources Committee (HRC) managing all governance materials processes and stakeholder relationships including interaction with the independent advisor.
  • Lead design and delivery of all deferred compensation plans for the Bank.
  • Oversee development and delivery of compensation disclosure including CD&A and regulatory filings.
  • Manage engagement with shareholders proxy advisors and investors.
  • Own enterprise compensation policies including salary ranges and guidelines.
  • Lead TDs global pay equity mandate and ensure compliance.
  • Partner with Finance and HR on forecasting accruals and governance.
  • Monitor global regulatory changes and implement required adjustments.
  • Oversee compensation-related audits and regulatory reviews globally.
  • Contribute to the Total Rewards vision strategy and long-term planning activities and translate short- and medium-term business and functional strategies into operating plans
  • Establish and uphold controls to identify & mitigate risks.
  • Develop and lead a high-performing team of compensation experts.

Key Qualifications & Capabilities

  • University degree in Human Resources Industrial Relations or Business Administration
  • 10-15 years of experience in Human Resources Compensation and Total Rewards with a deep understanding of multiple disciplines
  • Outstanding communication skills including experience with senior executives and Board-level audiences.
  • Proven leadership in large change programs and processes in partnership with the business demonstrating the ability to innovate simplify and act as a catalyst for change
  • Proven ability in developing and deploying a vision and aligning others to that vision
  • Previous experience developing and executing strategies and delivering superior results in both the short- and long-term
  • Strong people management skills with proven ability to attract top talent and a relentless commitment to development of all team members
  • Comfortable operating in a complex globally matrixed organization
  • A powerful communicator who engages colleagues business partners & external stakeholders
  • Confident presentation skills and strong interpersonal skills including high EQ and emotional maturity to facilitate working with senior management at all levels
  • Demonstrated relationship-building skills with a superior ability to deliver results with a commitment to operational and service excellence using positive impact and influence
  • Negotiation and partnership skills to balance stakeholder input while remaining objective to reaching the right outcome
  • Highly developed critical thinking analytical and problem-solving skills
  • Robust organizational skills with the ability to work in a fast-paced environment and successfully leading a team managing multiple deadlines and priorities
  • Excellent analytical skills in assessing risk issues and challenging the status quo
